24-Count Indictment Marks Criminal Escalation Against Unlisted Promoters

Federal prosecutors have filed a 24-count criminal indictment against former financial services director Donald Cuthbertson, marking an escalation from civil enforcement to criminal prosecution for misconduct in unlisted capital raising.

The charges signal that regulators are pursuing custodial sentences for promoters who make unsubstantiated claims about trading technology and ASX listings.

  • Donald Cuthbertson arraigned on 24 criminal charges including false statements and attempting to pervert the course of justice
  • Indictment alleges misleading representations regarding robotic trading technology and ASX listing plans
  • Investor losses alleged to exceed $850,000
  • Two witness tampering counts carry a statutory maximum of 10 years’ imprisonment
  • Administrative Review Tribunal affirms five-year bans against financial advisers for inappropriate switching

The Criminal Escalation: 24 Counts

On 11 September 2026, Donald Cuthbertson was arraigned in Federal Court on 24 criminal offences alleging false and misleading representations made between December 2018 and May 2025. Cuthbertson entered not guilty pleas and was granted conditional bail. He is presumed innocent until proven guilty.

The Commonwealth Director of Public Prosecutions alleges that, as sole director of Professional Wealth Management Pty Ltd, Cuthbertson made false representations to investors regarding an unlisted robotic trading technology.

The indictment comprises:

  • 10 counts of false or misleading statements (Corporations Act section 1041E)

  • 12 counts of dishonest conduct (Corporations Act section 1041G)

  • 2 counts of attempting to pervert the course of justice (Crimes Act section 43)

ASIC cancelled Professional Wealth Management Services’ AFS licence in August 2023 and permanently banned Cuthbertson from the financial services industry.

Witness tampering charges –alleging direct communication with prosecution witnesses and distribution of draft affidavits– represent the most serious component.

Statutory maximums reach 15 years for post-2019 Corporations Act contraventions and 10 years for attempting to pervert justice.

Investment Implications

This prosecution warns private market investors:

Criminal Focus on Pre-IPO Claims: ASIC and CDPP are utilising criminal statutes against promoters making aggressive claims about ASX listings or proprietary algorithms.

Unsubstantiated representations attract direct criminal liability.

Witness Contact Creates Exposure: Contact with potential witnesses during proceedings triggers immediate legal risk.

Technology Due Diligence Required: Investors must demand independent audits of automated trading systems before committing capital, not relying solely on promoter presentations.

Sideline Wrap: Adviser Bans and Asset Freezes

The Administrative Review Tribunal affirmed ASIC’s five-year bans against former financial advisers Andrew Hanley and Shane Monte Silva for inappropriate superannuation switching advice that failed to prioritise client interests.

ASIC cancelled the registered agent status of AGFA Accountants for breaching Terms and Conditions.

The NSW Supreme Court granted asset preservation orders against the Deckchair Trust linked to Christopher Malcolm Edwards, following provisional liquidator appointments to 12 associated companies.

Scam Alert: Asset Freeze for Unregistered Fund Scheme

On 18 September 2026, ASIC secured Federal Court orders freezing bank accounts and restraining overseas travel for Star Investment Group Australia, Gondal Holdings, and director Ijaz Ahmad.

The entities allegedly operated an unregistered managed investment scheme accepting retail investor funds without holding an AFS licence.

Investors should verify fund managers hold active AFS licences authorising fund operations before committing capital to pooled investment structures.
